1. Acceptance of Terms

Welcome to Enzyme. These Terms of Service ("Terms") govern your access to and use of the Enzyme website located at enzymehq.com (the "Site"), our mobile applications, and any related services, features, content, or applications offered by Enzyme (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Eligibility

To use our Services, you must:

  • Be at least 16 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law
  • Not have been previously suspended or removed from our Services

If you are under 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Services and that they have read and agreed to these Terms on your behalf.

3. Account Registration

3.1 Creating an Account

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Early Access Program

Access to certain features may require an early access code. Early access codes are:

  • Personal and non-transferable
  • Valid for a single account registration only
  • Subject to expiration dates as specified at issuance
  • Revocable at our discretion for violation of these Terms

4. Description of Services

Enzyme provides an AI-powered training platform for strength athletes and coaches that includes:

  • Performance analytics and tracking
  • Video review and technique analysis
  • Training programming and planning tools
  • Coach-athlete communication features
  • AI-powered feedback and recommendations

The Services are provided "as is" and are intended for informational and educational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment. Always consult with a qualified healthcare provider before starting any new exercise program or if you have concerns about your health.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

5. User Content

5.1 Your Content

"User Content" means any content you submit, upload, or transmit through the Services, including but not limited to training videos, images, text, data, and feedback.

You retain ownership of your User Content. By submitting User Content, you grant Enzyme a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and process your User Content solely for the purpose of providing and improving the Services.

5.2 Content Standards

You agree that your User Content will not:

  • Violate any applicable law or regulation
  • Infringe any third party's intellectual property or other rights
  • Contain viruses, malware, or other harmful code
  • Be fraudulent, false, misleading, or deceptive
  • Be defamatory, obscene, or offensive
  • Harass, abuse, or harm another person
  • Promote illegal activities or violence

5.3 Content Removal

We reserve the right, but are not obligated, to review, monitor, or remove User Content at our sole discretion for any reason, including content that we believe violates these Terms or is otherwise objectionable.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all content, features, and functionality (such as software, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and their selection and arrangement), are owned by Enzyme, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

"Enzyme," the Enzyme logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Enzyme. You may not use such marks without our prior written permission.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.

You may not:

  • Copy, modify, or distribute any part of the Services
  • Reverse engineer, decompile, or disassemble any software in the Services
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Services for any commercial purpose without our consent
  • Use any data mining, robots, or similar data gathering methods
  • Access the Services through automated means (bots, scrapers, etc.)

7. Prohibited Conduct

When using our Services, you agree not to:

  • Violate any applicable law, regulation, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services
  • Use the Services to send spam or unsolicited communications
  • Collect or store personal data about other users without their consent
  • Use the Services for any illegal or unauthorized purpose
  • Circumvent, disable, or otherwise interfere with security features
  • Engage in any activity that could damage, disable, or impair the Services
  • Use the Services in any manner that could create liability for Enzyme

8. Third-Party Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Enzyme. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to the terms and conditions of those services. We encourage you to review the terms and privacy policies of any third-party services you access through our Services.

9. Fees and Payment

9.1 Pricing

Certain features of the Services may require payment of fees. We will notify you of applicable fees before you incur them. All fees are stated in U.S. dollars unless otherwise specified.

We reserve the right to change our fees at any time. If we change fees for Services you are already using, we will provide you with advance notice of the change.

9.2 Payment Terms

By providing payment information, you represent and warrant that:

  • You are authorized to use the payment method provided
  • The payment information you provide is accurate and complete
  • You will pay all charges incurred at the prices then in effect

9.3 Refunds

Unless otherwise required by law, all fees are non-refundable. We may, in our sole discretion, provide refunds or credits on a case-by-case basis.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ENZYME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ENZYME DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ENZYME DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

Any training programs, AI recommendations, or analytics provided through the Services are for informational purposes only. Always consult with a qualified healthcare provider before beginning any exercise program.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ENZYME, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • ANY INJURY OR HARM RESULTING FROM YOUR USE OF THE SERVICES OR RELIANCE ON ANY INFORMATION PROVIDED

IN NO EVENT SHALL ENZYME'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ENZYME IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Enzyme, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable law.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve any dispute informally by contacting us at legal@enzymehq.com. We will try to resolve the dispute informally within 60 days.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

The arbitration will be conducted in Delaware, United States, unless you and Enzyme agree otherwise. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND ENZYME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us at legal@enzymehq.com.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (if you have provided one) or by posting a notice on the Services prior to the change becoming effective.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Enzyme regarding the Services and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Enzyme.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

Enzyme shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
